Terms and Conditions

“Excitenet” Media Solution is also known as Web Media Solutions is an Agency for Website Design and Development, Digital Marketing; and Providing Online Services in the name of “www.Excitenet.co.uk”. 

The “Excitenet.co.uk” website is owned by Excitenet Media Solutions. By accessing the ‘Excitenet.co.uk’ website, you are agreed to bound by the following terms & conditions, otherwise, you are advised not to use this website and its services.

Definition and application

1.1) In this Contract:

i) Excitenet – refers to Excitenet Media Solutions, Excitenet Web Solutions and “Excitenet.co.uk”.

ii) ‘We’, ‘our’ and ‘us’ – refers to ‘Excitenet’ and any media form owned by the partners of ‘Excitenet’.

iii) ‘Users’, ‘you’, ‘your’ “they” and “their”- refers to the, who is viewing (any media form) and using this website and its services provided on this site whether free or paid for.

iv) Partner(s) – refers to the third party who is providing any information or services on this website whether free or paid for.

v) Seller(s) – refers to the business or other parties providing any of the services on this site or any other media form whether free or paid for.

vi) Information – refers to the textual or visual descriptions of products or services or any other content on this website. 

1.2) “The customer” – means the customer with whom Excitenet makes this contract including a person reasonably appearing to Excitenet to act with that customer’s authority.
1.3) “WWW” means World Wide Web services available on the Internet.
1.4) “Domain names” means Internet addresses, which have been registered with the central registration authorities on the Internet on behalf of the customer.
1.5) “Upload” means transfer of computer files to the Server computer system for publication on the Internet, WWW.

1.6) “Commencement date” means the date of Excitenet acceptance of the customer’s order.
1.7) “This contract” means the contract between the customer and Excitenet incorporating these terms and conditions.
1.8) “Hosting” means making available the customers domain name to the Internet community.
1.9) “Renewal Date” means the date of renewal of this contract between the customer and Excitenet.
1.10) “Illegal” means any act or acts, which can breach the criminal law of United Kingdom.
1.11) Any words in the singular include the plural and vice versa. All definitions, notes, terms, and conditions referred to in this contract form part of the contract as if they were expressly set out in it.

2) Provision of Services

2.1) This contract covers the provision of service by Excitenet Media Solutions, to the customer. It supersedes and takes precedence over any previous written or oral representations given or made by the company or any representatives of the company. In agreeing to the provision of the services, the customer is deemed to have read and understood these terms and conditions.
2.2) Any date proposed either by the customer or Excitenet Media Solutions (Excitenet.co.uk) for the provision of services is to be treated as an estimate only and Excitenet Media Solutions accepts no liability for any failure to meet it.
2.3) Unless Excitenet Media Solutions receive a notice in writing from the customer terminating this contract at any time prior to the renewal date, the customer will be deemed to renew the contract at the end of the twelve-month period and be subject to the terms and conditions referred to herein.
2.4) Excitenet Media Solutions reserve the right to alter or amend its terms and conditions by giving seven days’ prior notice to the customer. Notice will be deemed to have been given by Excitenet Media Solutions by displaying the notice on the website of Excitenet Media Solutions that can be found at http://www.Excitenet.co.uk

3) Agreements

A contact which is agreed upon and accepted in full without exception between registered or non-registered users of Excitenet.co.uk / Excitenet Media Solutions / Excitenet Web Solutions / Excitenet and its services.

4) Contract Period

This Contract shall continue from the commencement date for a period of twelve calendar months subject to termination under conditions 11 and 12.

5) Changes in terms & conditions

‘Excitenet Media Solutions’ reserves all the right to change, update or amend the terms of condition time to time without prior notice to you. It is user’s responsibility to check the terms & conditions each time when they access this site to check for change or update or amendments. The changes to the terms and conditions take effect immediately once they are uploaded onto the website and thereafter all the older versions of this terms and conditions are nullified.

6) Uses

Unless otherwise specified, this website and any of its facilities and/or services are for your personal and non-commercial use only. You may download, display or print part of this website for your own personal and non-commercial use. You may save a copy of this page to your local hard drive for the purpose of creating one personal back-up copy. You agree not to copy, modify, transmit, display, distribute, perform, reproduce, licence, publish, create derivative work form, transfer or sell any information, software, products and services contained on or forming part of this website for resale, re-distribution or for any other commercial use for including any surveys, contest or pyramid schemes, nor use the service to participate in or cause others to participate in sending chain letters, junk mail, spam, duplicate or unsolicited communications.

You must not:-

a) Post to or send via this website any materials that are or could reasonably be construed as:

i) Defamatory, libious, obscene, offensive, abusive, liable to incite racial hatred, discriminatory or blasphemous;
ii) in breach of any obligation of confidence or privacy or any trade secret;
iii) infringing the proprietary right of any third party or for which you have not obtained all necessary licences and/or approvals; or
iv) violating any other law.

b) Harvest or otherwise collect information about other users, including email address, without their consent and you will not pass or transfer your ‘Excitenet.co.uk’ accounts and User ID to another party without our consent.

c) Provide any false and inaccurate information during registration.

d) The customer agrees not to upload any of the following material to the web space provided by Excitenet:

Illegal material – This includes copyrighted works, commercial audio, video, or music files, and any material in violation of any Federal, State or Local regulation.

Adult material – this includes all pornography, erotic images, or otherwise lewd or obscene content. The designation of ‘adult material’ is left entirely to the discretion of Excitenet.co.uk.

Warez – Includes pirated software, ROMS, emulators, phreaking, hacking, password cracking, IP spoofing, etc., and encrypting of any of the above. Also includes any sites which provide ‘links to’ or ‘how to’ information about such material.

e) If the contract is terminated for whatever reason, the customer will be entitled to a pro-rata refund of the contract price minus any set-up fees.

f) The customer agrees not to perform any action that will result in the reduced performance of the ‘Excitenet.co.uk’ server to the detriment of other users.

g) Not to commit any act whereby access is gained by the customer to any information or resources of anybody corporate or person, individual, partnership, government agency, national institution, charity or recognised organisation without first having obtained authority from those persons or institutions.

6.2) The customer agrees not to use unsolicited or spam e-mail in any way that would result in any part of the Excitenet.co.uk network being mentioned either directly or indirectly in such postings. Failure to meet this obligation would result in the termination of this contract without refund.

6.3) Not to do any act or omission, the result of which would have the effect of bringing Excitenet.co.uk into disrepute.

7) Limitation of Liability

7.1) For the avoidance of doubt Excitenet has no obligation duty or liability in contract and/or tort for breach of statutory duty or otherwise beyond that of a duty to exercise reasonable skill and care.
7.2) In any event and in no circumstance shall Excitenet be liable for any loss either direct or indirect of profits, business, or anticipated savings or any other direct or indirect consequential loss arising out of the provision of the service to the customer.
7.3) In no circumstance shall Excitenet be liable for any loss whether direct or indirect arising from the content of any information placed by the customer onto the service provider of Excitenet.
7.4) Under no circumstances shall Excitenet be liable for loss whether direct or indirect of profits, business, or anticipated savings or for any direct or indirect consequential loss whatsoever by the failure of, or any problem experienced by the customer in its operation of its website.
7.5) Each provision of this condition is to be construed as a separate limitation applying and surviving even if for any reason one or other of the said provisions is held inapplicable or unreasonable.

8) Indemnity

8.1) Without prejudice to any other rights or remedies which Excitenet may have against the customer, the customer shall indemnify Excitenet against any loss or expenses sustained by reason of any breach of this contract and any actions, proceedings, claims or demands in any way connected with this contract brought on by or threatened against Excitenet by a third party which are caused by or arise from any action of Excitenet carried out pursuant to the instructions of the customer.
8.2) The customer shall indemnify Excitenet against any actions, proceedings, claims or demands in any way connected with this contract brought or threatened against Excitenet by a third party which are caused by or arise from any act or default of Excitenet carried out pursuant to the instructions of the customer.

9) Charges

9.1) All charges of whatever nature in respect of service shall as such be as Excitenet shall determine from time to time. On each occasion when service is provided to the customer, the customer shall pay the charges in force at that time, full details of which will be available from the address specified in condition 12.
9.3) Value added Tax where applicable will be added at the appropriate rate to the total of all charges shown on the customer’s bill.
9.4) Subject to paragraph 12 below, the administration charge referred to therein is payable in full within seven days.
9.5) Should Excitenet have to issue Court proceedings pursuant to this contract the customer accepts responsibility for all Excitenet legal fees and disbursements notwithstanding the value of the claim, on an indemnity basis.
9.6) Any third-party costs Excitenet may incur due to processing the payment for the services will be payable by the customer within seven days.

10) Payments

A deposit of 60% required at the time of placing order(s) and the balance is payable on completion of job. Deposits are non-refundable on cancellation, or if order(s) is not followed through by Customer.
No credit is applicable unless written arrangements have been made.
No cheque is accepted unless written arrangements have been made. Any cheque’s returned unpaid R.D. or R.D.R.P. will be charged @£50.00 each time.

11) Termination of this contract by Excitenet Media Solutions

11.1) If the customer does not pay any charge when due or breaks this contract in any other way Excitenet can terminate this contract immediately without the requirement of prior notification.
11.2) Termination of this contract by Excitenet will result in the retaining by Excitenet of all monies received from the customer who will not be entitled to a refund of monies paid.
11.3) Upon termination of this contract the customer shall nevertheless remain liable for all charges due, or which would have been payable under this contract.
11.4) On termination Excitenet will remove all materials held on Excitenet’s computer and remove all privileges entitled to the customer.

12) Termination of the contract by the customer

12.1) The customer can terminate this contract at any time in writing to the following address: Excitenet Media Solutions, 37 Rowan Road, Dudley, West Midlands, DY3 1LG United Kingdom. In an event of the customer terminating this contract, the customer will be entitled, if they so wish, to continue with the contract until the expiration of the contract period or alternatively the customer may request the immediate termination of the contract.

13) Privacyements

Excitenet.co.uk respects and protects the privacy of the individuals who access this website and use the facilities and/or services. So, we do not sell or rent your information to the third party without your consent. We use your information only as described in the Privacy Statements. You can access and modify the information you provide us and choose not to receive certain communications by signing-in to your account or you can decide not to remain a member of Imagedesignandprint.com anymore and either delete your data from our computer your own by Signing-Out or send us a request to delete all the information you provided us, and we will do it promptly as request.

14) Force Majeure

14.1) Excitenet is not liable for any breach of this contract if the breach was caused by an act of God, insurrection or civil disorder, war or military operations, national or local emergency, acts of omissions of government, highway authority or other competent authority, Excitenet’s compliance with any statutory obligation, industrial disputes of any kind (whether or not involving Excitenet employees), fire, lightening, explosion, flood, subsidence, weather of exceptional severity, acts of omission of persons whom Excitenet is not responsible (including in particular other telecommunication service providers), or any other cause whether similar or dissimilar outside The Excitenet’s reasonable control.

15) Applicable Laws

16.1) The customer must not assign the benefit of this contract in whole or in part.
16.2) Excitenet reserve the right to assign the benefit of this contract by giving prior written notice of any assignment to the customer.
16.3) Except with the prior written consent of Excitenet, the service shall not be used by or on behalf of any person other than the customer or a third party specified on the application form.

16) Limitation on assignment

16.1) The customer must not assign the benefit of this contract in whole or in part.
16.2) Excitenet reserve the right to assign the benefit of this contract by giving prior written notice of any assignment to the customer.
16.3) Except with the prior written consent of Excitenet, the service shall not be used by or on behalf of any person other than the customer or a third party specified on the application form.

17) Copyrights

All copyright, database rights and other intellectual property rights in all the material on the site including but not limited to site design, structure, page layouts, graphical images, search results and underlying software code (collectively the “Content”) legally and beneficially belongs to Excitenet and the relevant advertisers. The advertisers own or licence the rights to their own brand. Except for the advertiser’s intellectual property rights, Excitenet owns all rights to the rest of the Content.
The site is provided as-is, without any warranty or guarantee of availability.

18) DISCLAIMERS

ALL KINDS OF USE OF THIS WEBSITE BY YOU IS AT YOUR OWN RISK. EXCITENET IS NOT RESPONSIBLE OR LIABLE FOR ANY FORM OF LOSS OR DAMAGE DUE TO DOWNLOADING AND/OR USING OR REFERRING TO OR RELYING ON INFORMATION, FACILITIES, SERVICES OR MATARIALS PROVIDED ON THIS WEBSITE.
